Terms of Service

These Terms of Service ("Terms") govern your access to and use of heymarble.ai, the Marble waitlist, and related early-access communications provided by Aristo Intelligence, Inc. ("Aristo Intelligence," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services or join the waitlist.

These Terms apply only to the current Marble website and waitlist. Any future Marble product or beta may be subject to updated or additional terms presented before you use it.

PLEASE NOTE: These Terms contain a binding arbitration provision and class action waiver in the "Dispute Resolution and Arbitration" section.

Eligibility

You must be at least 18 years old and legally able to enter into these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

You may not use the Services if applicable law or another binding obligation prohibits you from doing so.

The Waitlist

Joining the waitlist expresses your interest in receiving information about Marble. It does not:

• Guarantee access to Marble or any future product.
• Reserve a particular place, priority, release date, feature, price, or service level.
• Create an obligation for us to launch or provide any product or service.
• Create a customer, employment, partnership, agency, or fiduciary relationship.

We may manage, change, pause, or discontinue the waitlist at any time. We may decline or remove a submission where reasonably necessary to prevent abuse, protect security, comply with law, or manage the waitlist.

Communications

By joining the waitlist, you ask us to send early-access notices, launch information, and related Marble product updates to the email address you provide.

You may unsubscribe by following the instructions in an email or by contacting us. We may still send messages necessary to respond to your requests or comply with law.

Acceptable Use

You agree not to:

• Use the Services for unlawful, fraudulent, abusive, deceptive, or harmful purposes.
• Submit information that you do not have the right to provide.
• Impersonate another person or misrepresent your identity or affiliation.
• Attempt to gain unauthorized access to the Services, accounts, systems, or data.
• Interfere with or disrupt the Services, including by introducing malware, bypassing security controls, scraping at unreasonable volume, or placing an unreasonable load on our systems.
• Use automated means to abuse the waitlist, create duplicate or fraudulent submissions, or circumvent technical restrictions.
• Violate the intellectual property, privacy, publicity, confidentiality, contractual, or other rights of any person.

We may investigate suspected violations and cooperate with law enforcement or regulators where appropriate.

Your Submissions and Feedback

You retain any rights you have in information, messages, or feedback you submit.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and otherwise process your submissions only as reasonably necessary to operate, secure, maintain, and administer the Services; respond to you; comply with law; and enforce these Terms.

If you voluntarily provide ideas, suggestions, or feedback about Marble, we may use that feedback without restriction or compensation to you, provided that we do not publicly identify you as its source without permission.

We do not use your submissions to train AI models.

Our Intellectual Property

The Services, including their software, design, text, graphics, logos, trademarks, and other content, are owned by Aristo Intelligence or our licensors and are protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purpose. Except as expressly permitted, you may not copy, modify, distribute, sell, license, reverse engineer, or create derivative works from the Services.

No rights are granted except as expressly stated in these Terms.

Third-Party Services and Links

The Services may rely on or link to third-party services. Third-party services are governed by their own terms and privacy policies.

We do not control and are not responsible for third-party services, including their availability, content, security, or privacy practices. A link or integration does not imply endorsement.

Privacy

Our Privacy Policy explains how we collect, use, disclose, and retain personal information. By using the Services, you acknowledge that policy.

Changes, Availability, and Discontinuation

We may modify, suspend, restrict, or discontinue any part of the Services at any time. We may also change how the waitlist operates.

We will try to provide reasonable notice of material changes when practical, but we do not promise that the Services or any particular feature will remain available.

Suspension and Termination

You may stop using the Services or ask us to remove your waitlist information at any time.

We may suspend or terminate access to the Services, reject or remove a waitlist submission, or block communications if we reasonably believe that you violated these Terms or law, created security or operational risk, engaged in fraud or abuse, or if action is required to protect us, users, third parties, or the public.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, feedback, disclaimers, liability, indemnity, dispute resolution, and miscellaneous terms.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ARISTO INTELLIGENCE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR EXPECTATIONS, BE AVAILABLE WITHOUT INTERRUPTION, BE SECURE, OR BE FREE OF ERRORS OR HARMFUL COMPONENTS. INFORMATION ABOUT MARBLE, INCLUDING POSSIBLE FEATURES, ACCESS, TIMING, OR LAUNCH PLANS, MAY CHANGE AND IS NOT A PROMISE OR GUARANTEE.

Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ARISTO INTELLIGENCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR SERVICE AVAILABILITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ARISTO INTELLIGENCE AND THE OTHER PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED USD $100.

These limitations apply to all theories of liability and do not limit liability that cannot be limited under applicable law.

Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aristo Intelligence and its officers, directors, employees, affiliates, service providers, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your misuse of the Services, your violation of these Terms or law, or your violation of another person's rights.

We may assume control of the defense of a matter subject to indemnification, and you agree to cooperate with that defense.

Dispute Resolution and Arbitration

Informal Resolution

Before starting arbitration, the party seeking relief must give the other party written notice describing the dispute and requested relief. Notices to Aristo Intelligence must be sent to support@aristo.so and to the postal address listed in "Contact Information."

The parties will attempt in good faith to resolve the dispute for 30 days after notice is received.

Binding Individual Arbitration

Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration under the Federal Arbitration Act.

The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules. Information about the AAA and its rules is available at adr.org.

The arbitrator has authority to resolve disputes concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement and may award the same individual remedies available in court.

Exceptions

Either party may:

• Bring an eligible individual claim in small claims court.
• Seek injunctive or equitable relief in court to prevent actual or threatened infringement or misuse of intellectual property rights.
• Ask a court to enforce an arbitration award or address a matter that applicable law does not permit to be arbitrated.

Class Action and Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL.

If applicable law does not permit a particular waiver or restriction, that portion will not apply.

Governing Law and Court Venue

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law principles, except that mandatory consumer protection laws may apply where required.

For disputes that are not subject to arbitration, you and Aristo Intelligence consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, except where applicable law requires another forum.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, changing the "Last updated" date, sending an email, or using another reasonable method as required by law.

Your continued use of the Services after updated Terms take effect means you accept them. If you do not agree, you must stop using the Services.

Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Aristo Intelligence regarding the current Services.

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, financing, acquisition, reorganization, sale of assets, or similar transaction.

Our failure to enforce a provision is not a waiver. If a provision is found unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will remain effective.
